Terms of Service

1. Acceptance of Terms
By accessing and using the YouthSoftTech website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this service.
These Terms of Service apply to all users of the YouthSoftTech website, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.
2. Services Provided
YouthSoftTech provides software development services including but not limited to:
- Custom web application development
- Mobile application development
- Cloud architecture and DevOps services
- Technical consulting and code reviews
- API design and integration
Specific services provided will be outlined in individual statements of work or project agreements signed by both parties.
3. Intellectual Property
Upon full payment, YouthSoftTech assigns to the client all rights, title, and interest in the deliverables created specifically for the client under the agreement. YouthSoftTech retains the right to use general knowledge, skills, and experience gained during the project.
YouthSoftTech reserves the right to display portfolio work and use client logos for promotional purposes unless otherwise agreed in writing.
4. Payment Terms
Payment terms will be specified in individual project agreements. Standard terms include:
- 50% deposit required before project start
- Remaining 50% due upon project completion
- Net 15 payment terms for ongoing retainer work
- Invoices payable within 30 days of receipt
Late payments may incur interest at a rate of 1.5% per month.
5. Confidentiality
Both parties agree to keep confidential any proprietary information, trade secrets, or business information disclosed during the course of the engagement. This obligation survives termination of the agreement for a period of three (3) years.
6. Limitation of Liability
In no event shall YouthSoftTech be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
YouthSoftTech's total liability for any claim arising from the services shall not exceed the total amount paid by the client for the specific service giving rise to the liability.
7. Termination
Either party may terminate the agreement with 30 days written notice. Upon termination:
- Client shall pay for all work completed up to the termination date
- YouthSoftTech shall deliver all completed work products
- Both parties shall return any confidential information
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which YouthSoftTech is registered, without regard to its conflict of law provisions.
